Woburn-Based OzVision Sees $5M of $6.7M Offering

WOBURN -- OzVision Global Inc. has raised $4.94 million of its $6.74 million convertible note offering, according to an SEC filing.

The Woburn-based company, founded in 1995, develops and markets remote video compression technology for the security, cellular telecommunications and data communications industries.

Investors in the company are Aviv Venture Capital Ltd. in Ramat Gan , Israel , and Kardan Israel Ltd. in Tel Aviv. Principals named in the filing include directors Amir Guttman, of Aviv Ventures; Amit Ben-Yehuda, of Kardan; and Gideon Ben Zvi.

Also named are CEO Avraam Fried, President Alan Avidan, CFO Michael Buber and other executive officers Meirav Mor, Richard Bower and Duby Hodd.

Avraam (Avi) Fried - Chairman & CEO
Avi Fried was appointed chief executive officer in April 2008, and named chairman of the board of directors in August 2008. He currently serves on the boards of Celbrus, Tribase and GPT . Prior to this Avi was the chairman of the board of Mplicity, General of Manager of Magma Israel, CEO and President of Msafe Inc., General Manager of Avanti Corp Europe, General Manager of Cadence Israel and the Area Director for QuickTurn Israel.
Avi holds a PhD degree in Mathematics.

Alan Avidan - President, OzVision Global
Alan Avidan is a senior security industry executive with over 15 years experience in the commercial, military and homeland security sectors. Alan has co-founded and led a high-tech company within the security/advanced wireless communications space. MadahCom, Inc. established itself as a world leader in its field, and achieved rapid profitable growth through its flagship product line WAVES (Wireless Audio Visual Emergency System).
In April 2007 MadahCom, Inc. was acquired by Cooper Industries (NYSE: CBE ) and now forms the core of the Cooper Notification Division.

He is recognized within the industry as a world-expert on anti-terrorism alerting systems, and has been invited to address major security conferences and events, both commercial and military, including ISC, ASIS , NFPA, NSCA , US Pacific Command ATFP and PSEAG.
Alan joined OzVision as President in April 2008. He holds a PhD in Engineering and an Executive MBA.

Michael Buber - Chief Financial Officer
Mr. Buber has diversified experience in accompanying a broad range of Israeli and US high-tech companies. Prior to joining OzVision, Mr. Buber was a Manager at Deloitte where he was responsible for strategic analysis and accompanying companies in their business development activities. He has extensive expertise in Sarbanes Oxley act implementation, IFRS conversation, Tax and IPO's.

Mr. Buber is a certified public accountant and holds a B.A. in Accounting and Economics from Haifa University , Israel .

Amir Guttman, Aviv Venture Capital Ltd.

Prior to founding Aviv, Amir served for 6 years as member of the senior management of Discount Investments Corp. (DIC). He initiated and executed a wide variety of investments, business development and M&A activities, private placements in start-up and mature companies, as well as taking responsibility for Investor Relations. Amir led an early-stage investment in Given Imaging (NASDAQ: GIVN) and served on its board.

Additional board memberships included: Tambour (TASE), Maxima (TASE), Tradanet Electronic Commerce (a joint venture with GE Information Services), SDL Technologies, the Incubator for Entrepreneurship at the Weitzman Institute of Science, and others.

Previously Amir served as a senior associate at the consulting practice of Coopers & Lybrand in San Francisco , where he was part of a select team offering financial, advisory and analytical services for M & As, capital sourcing and corporate valuations.

Amir earned his Ph.D. and Masters Degrees in Business Administration from the University of California at Berkeley , California . He holds a B.A. in Accounting and Economics from the Tel Aviv University .

Amir is an adjunct Professor at the Leon Recanati Graduate School of Business Administration, Tel Aviv University .

He serves as an elected member of the board of directors of the Israel Venture Association, and is a past member of the investment committee of Capital Berger Mutual Funds Ltd.

Amir reached the rank of lieutenant in the Intelligence Corp of Israel 's Defense Forces.
